(1) The 489 shares were acquired under the Photronics, Inc. Employee Stock Purchase Plan.
(2) Represents shares of restricted stock granted under a Photronics stock plan pursuant to Rule 16b-3(d).
(3) Mr. Yomazzo disclaims beneficial ownership of these shares.
(4) Represents all of the shares held by a limited partnership of which Mr. Yomazzo is a general partner and owns limited partnership interests. Mr. Yomazzo disclaims ownership of those shares not represented by his general or limited partnership interests.
(5) The option becomes exercisable in four equal annual installments beginning on the first anniversary of the grant date specified in Column 3.
